Our client is real estate private equity firm which, due to its exponential growth in recent months, is recruiting a Legal Counsel.
Your new role
As a Legal Counsel the Candidate will be reporting directly to the Director in charge of the Legal & Compliance team and also with a dotted line to the CFO. The Candidate will support with Legal Due Diligence processes over asset deals and share deals, draft and negotiate Promissory Sale and Purchase Agreements and Deeds, as well as works contracts, supply contracts, service contracts for the development of real estate, all kind of commercial contracts, including but not limited to shareholders agreements, investment agreements and joint venture agreements.
Regarding the corporate part of the role the selected Candidate will be responsible for the coordination and follow-up of corporate law acts, registries and notarial acts, debt advisory and negotiation with external counterparts on debt financing and structure, support the management team on governance related matter, identify legal and contractual risks and providing legal advice, working cross-functionally with finance, accounting, asset management and investment departments, as well as ensure the compliance with the Law and Regulations applicable to the companies activities and draft, review and validate the power-of attorneys and other support documentation for transactions.
What you'll need to succeed
The Candidate must have a Bachelor Degree in Law and a Master in Corporate Law. The selected candidate shall also have been admitted the bar association in between 3 to 5 years, at least two years? experience in a law firm or in-house legal department dealing with all kind of transactions in various aspects of Corporate Law and Real Estate Law. Fluency in English is a mandatory requirement
