Global Corporate Secretary Manager

Job Description:

Responsible for managing, monitoring and supporting corporate secretary activities globally, involving approximately 100 entities in over 50 legal jurisdictions, enforcing best practice in order to fulfil legal obligations, reduce tax risks, avoid local fines and board member exposure, and to identify gaps and provide accurate reports to senior management, internal clients and 3rd parties including local authorities, banks and auditors.

  • Efficient management of Blueprint OneWorld (the Ferring Group?s Legal Entity Management system containing information of approximately 100 entities and over 120 board members, general managers and authorised signatories) including identify gaps, set the direction for improvements, identify and recommend the next steps in populating the database, improve customer experience through modifications and manage & deliver training, report requests, access rights and updates.
  • Corporate governance management, monitoring and coordination on a global basis, including compliance with corporate governance SOPs, and alignment between SOPs, practices and local laws in over 50 countries. Ensure an orderly process for review of subsidiary board constitution and revision, and provide training with regard to functions of board members and corporate secretaries.
  • Corporate secretarial records e.g. board & shareholder minutes, company statutes, share certificates and registers, of all Ferring Group Affiliates and the company org charts are accurately maintained and that the Annual Audit is performed efficiently by liaising with all the local affiliates. Providing support and education when necessary and striving towards a centralised record of corporate secretarial documents for each entity. Manage legalisation requests and proactively walk through 3rd party requests received by internal customers to understand what exactly is required, ask questions when necessary and manage the expectation of what can be delivered. .
  • Appropriate actions are taken relative to corporate legal entities where appropriate, including new entity creation, capital increases, liquidation of an entity, etc. and action or instruct until full completion; liaising with outside counsel, communicating with key stakeholders and providing guidance to internal customers.
  • Management of corporate actions to support often sensitive information and corporate secretarial projects such as reorganisations with various other individuals and groups, such as local outside counsel, general managers, HR, local corporate secretaries, finance and treasury.
  • Review and prepare corporate secretarial documentation such as board and shareholder resolutions, powers of attorney, company statutes etc. Identify the needs of internal and external customers and draft documentation to meet these needs and in accordance with local requirements. Liaise between internal clients and notary / outside counsel.
  • Efficient management of the Ferring World Directory including setting direction for improvements, the next steps in populating the database, improving customer experience by making modifications, updating and performing the Annual Audit.
  • Responsible for compliance with Ferring Holding SA (downwards) with regard to Know-Your-Customer (Anti-Money Laundering) requests resulting in the preparation and submission of certain documents once the necessary approvals have been obtained. Assistance in compliance with Ferring Holding SA (upwards) Know-Your-Customer requests.
  • Improve knowledge sharing with Global Team Members and Ferring employees via intranet.

Required Education/Qualifications/Skills :

  • Bachelor of Law or equivalent professional experience
  • 5-8 years? experience as a legal professional in an international environment
  • Expertise in corporate secretarial documents and processes across various geographies
  • Technical expertise in the legalisation process across various geographies
  • Expertise in corporate secretarial timelines and managing customer expectations
  • Experience in corporate governance
  • Experience in working across cultures and different legal systems
  • Experience in handling different projects simultaneously
  • Proficiency in spoken and written English
